themachinesandequipment;and
　　鑒於乙赞成購買甲用乙供给的機器設備生產的鋼絲繩，以補償其機器設備的價款；
　　WhereasPartyBagreestobuytheproducts,
steelwirerope,madebyPartyAusingthe
machinesandequipmentPartyBsupplies,in
pensationofthepriceofthemachinesand
equipment;and
　　鑒於甲赞成從乙購買該項機器設備；
　　WhereasPartyAagreestopurchasefromPartyB
themachinesandequipment，翻譯論壇;and
　　鑒於甲批准向乙出卖鋼絲繩，以償還乙的機器設備價款；
　　WhereasPartyAagreestoselltoPartyBthe

　　因而，攷慮到本協議所述的条件和約定，甲乙雙特此破約：

　　信誉証要與本合同完整一緻。可則，乙對遲裝負責，并且甲有權便此中的損掉背乙提出索賠。修正信誉証的費用由乙承擔。
　　Paymentshallbeeffectedbyconfirmedand
irrevocableletterofcreditinfavourofPartyA,
payableatsight,allowingtransshipment.The
letterofcreditshallreachPartyAdays
beforethemonthofshipmentandshallbevalid
fornotlessthandays.
　　Theletterofcreditshallbeinstrict
accordancewiththetermsandconditionsofthe
contract.Otherwise,PartyBshallbeheld
responsibleforthedelayinshipmentandPartyA
maylodgeclaimsagainstPartyBforthelosses
arisingtherefrom.Alltheexpensesarisingfrom
theamendmentsshallbeforPartyB’saccount.

　　甲出具的品質檢驗書為最後根据。若貨到後乙發現質量與上述規定不符，乙在貨到目标港後天內告诉甲，雙協商解決有爭議的問題。

beregardedasfinal.If,onarrivalofthegoods
attheportofdestination,PartyBfindsthe
qualitynotuptothespecificationsmentioned
above,PartyBshallnotifyPartyAwithindays
afterarrivalofthegoodsattheportof
destination.BothPartiesshallhaveconsultations
forasettlementofthematterindispute.

ForceMajeure
　　若果不行抗力事务，甲或乙對未交或遲交本合同項下的局部或全数貨物不負責任。
　　PartyAorPartyBshallnotbeheldresponsible
foranyfailureordelayindeliveryoftheentire
lotoraportionofthegoodsunderthecontract
asaresultofanyforcemajeureaccident(s).

Arbitration
　　有關或執止本开同的所有爭議應該友爱協商解決。若達不成協議，有關爭議案則提交**仲裁。仲裁決定為終侷的，並對雙均存在約束力。
